By accessing, downloading, or using any part of our Services, you are signifying that you have read, understood, and agree to be bound by these Terms in their entirety. This action creates a binding contract between you and HealV Inc. If you do not agree to all of these Terms, you have no right to access or use the Services and must immediately cease all such use. We reserve the right to amend these Terms at any time. We will notify you of any material changes by posting the revised Terms on our Site and App and updating the “Effective Date” above. Your continued use of the Services after such changes have been posted constitutes your acceptance of the new Terms.

THE SERVICES PROVIDED BY HEALV INC. DO NOT CONSTITUTE MEDICAL ADVICE. The content and features offered through our Services, including but not limited to all text, audio, video, guided exercises, and other materials, are provided for informational and educational purposes only. The Services are not intended to be, and must not be taken as, a substitute for professional medical advice, diagnosis, or treatment.

Always seek the advice of your physician or another qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read, heard, or practiced through our Services. Reliance on any information provided by HealV, its employees, its content providers, or other users of the Services is solely at your own risk. If you think you may have a medical emergency, you must call your doctor or your local emergency services immediately. We do not recommend or endorse any specific tests, physicians, products, procedures, opinions, or other information that may be mentioned as part of the Services.

HealV provides a digital wellness platform designed to support mental and physical well-being. Our Services currently include an informational website for collecting user interest via email subscription and will expand to include a comprehensive mobile application and a full-featured website. The Services are intended to offer users access to features such as guided meditation, breathing exercises, stretching routines, informational articles via a blog, interactive wellness-related quizzes, and e-commerce functionalities for related products or services. The Company reserves the right to modify, suspend, or discontinue the Services, or any feature thereof, at any time and without notice or liability to you.

To access certain features of the Services, particularly within the App and the future members-only areas of the Site, you may be required to create a personal account. When you register for an account, you agree to provide information that is accurate, current, and complete, and to update this information as necessary to maintain its accuracy. You are solely responsible for safeguarding the password you use to access the Services and for any activities or actions that occur under your account, whether or not you have authorized such activities. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. HealV will not be liable for any loss or damage arising from your failure to comply with these security obligations. The Services are not intended for use by individuals under the age of eighteen (18). By creating an account and using the Services, you represent and warrant that you are at least eighteen years of age.

HealV grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, non-commercial, and informational purposes, strictly in accordance with these Terms. As a condition of your use, you agree not to use the Services for any purpose that is unlawful or prohibited by these Terms. You shall not engage in any activity that could damage, disable, overburden, or impair any HealV server or the networks connected to our servers. You are forbidden from attempting to gain unauthorized access to the Services, other user accounts, or computer systems through hacking, password mining, or any other means.

Furthermore, you agree not to post, upload, or transmit any content that is aversive, harassing, defamatory, obscene, fraudulent, or invasive of another's privacy. You will not infringe upon the intellectual property rights of any party, nor will you use the Services to distribute unsolicited promotional or commercial content, or any other form of solicitation. You are also prohibited from using any automated system, such as “robots,” “spiders,” or “offline readers,” to access the Services in a manner that sends more request messages to our servers than a human can reasonably produce in the same period by using a conventional web browser. We reserve the right to terminate your access to the Services and take appropriate legal action for any violation of these conduct rules.

The Services and all of their original content, features, and functionality—including but not limited to all software, code, text, graphics, logos, audio recordings, video materials, user interface designs, and the “HealV” name and trademarks—are the exclusive property of HealV Inc. and its licensors. This property is protected by international copyright, trademark, trade secret, and other intellectual property or proprietary rights laws. These Terms grant you no rights to our intellectual property except for the limited, personal license for use outlined in Article 5. You are expressly forbidden from copying, modifying, creating derivative works of, publicly displaying, republishing, or distributing any of our copyrighted material without our prior written consent.

For any content that you post, upload, or otherwise submit to the Services, such as comments on our blog or responses to a quiz (“User Content”), you retain ownership of your intellectual property rights. However, by providing User Content to HealV, you grant us a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully-paid, sublicensable, and transferable license to use, host, store, reproduce, modify, create derivative works from, communicate, publish, publicly perform, and display such User Content. This license is for the limited purpose of operating, promoting, and improving the Services. You represent and warrant that you have all the necessary rights to grant us this license for any User Content you submit. We maintain the right, in our sole discretion, to review, edit, or remove any User Content, though we are not obligated to do so.

As our Services evolve, we may offer products, services, or subscriptions for purchase through our Site or App (“Products”). All prices for Products will be displayed within the Services, and we reserve the right to change prices at any time in our sole discretion. We make reasonable efforts to display Product descriptions and prices accurately, but we do not warrant that such information is error-free.

To complete a purchase, you will be required to provide payment information. All financial transactions will be processed by a secure third-party payment processor. You agree to be bound by the terms and conditions of that processor. You represent and warrant that you have the legal right to use any payment method utilized in connection with any purchase. We are not responsible for any errors made by the payment processor. All sales are final, and HealV is not required to provide a refund for any reason, unless otherwise required by applicable law. You are responsible for paying all applicable taxes associated with your purchases.

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, HEALV INC. AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR FREE FROM ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS. WE MAKE NO GUARANTEE OR WARRANTY REGARDING THE ACCURACY, TIMELINESS, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OBTAINED THROUGH THE SERVICES, OR THAT ANY SPECIFIC RESULTS MAY BE OBTAINED FROM USE OF THE SERVICES. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HEALV INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF HEALV INC. FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID TO HEALV INC. FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

You agree to defend, indemnify, and hold harmless HealV Inc. and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from your use of and access to the Services, your violation of any term of these Terms, your violation of any third-party right, including without limitation any copyright or privacy right, or any claim that your User Content caused damage to a third party. These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The Parties agree that any dispute, claim, or controversy arising out of or relating to these Terms shall be determined by binding arbitration. The arbitration shall be seated in Montreal, Quebec, Canada, and the language of the proceedings shall be English. The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules. You and HealV Inc. agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HealV Inc. regarding our Services and supersede all prior agreements. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. You may not assign this Agreement without our prior written consent, but we may assign it without restriction.
